These Terms of Trade apply to all services provided by Access NZ 2005 Ltd t/a Access | Partners in Property.
1. Definitions
"Company" means Access NZ 2005 Ltd t/a Access | Partners in Property. "Client" means the person or entity engaging the Company for services. "Services" means all work, labour, and materials provided by the Company.
2. Quotations & Acceptance
All quotations are valid for 30 days from the date of issue. Acceptance of a quotation constitutes agreement to these Terms of Trade. The Company reserves the right to withdraw or amend any quotation prior to acceptance.
3. Payment
Invoices are payable within 20 days of the invoice date unless otherwise agreed in writing. The Company reserves the right to charge interest on overdue accounts at 2% per month. The Client shall pay all costs (including legal costs) incurred by the Company in recovering overdue amounts.
4. Variations
Any variation to the agreed scope of work must be approved in writing by both parties. Variations may result in additional charges, which will be invoiced accordingly.
5. Health & Safety
The Client must ensure that the worksite is safe and complies with all applicable health and safety legislation. The Company reserves the right to suspend or cease work if it considers the worksite unsafe, without liability to the Client.
6. Liability
The Company's liability for any claim arising from the provision of Services is limited to the value of those Services. The Company is not liable for indirect or consequential loss. Nothing in these Terms limits liability that cannot be excluded by law.
7. Intellectual Property
All intellectual property created by the Company in the course of providing Services remains the property of the Company unless otherwise agreed in writing.
8. Confidentiality
Both parties agree to keep confidential any information disclosed in connection with these Terms that is identified as confidential or would reasonably be considered confidential.
9. Dispute Resolution
The parties will attempt to resolve any dispute in good faith. If unresolved within 20 working days, either party may refer the dispute to mediation before commencing legal proceedings.
10. Governing Law
These Terms of Trade are governed by the laws of New Zealand. The parties submit to the exclusive jurisdiction of the New Zealand courts.
